These terms govern your use of Distill Markets, operated by DISTILL MARKETS PTY LTD (ACN 699 294 490, ABN 36 699 294 490). By creating an account or subscribing, you agree to these terms.
1. What we provide
Distill Markets is a data and analytics tooling product. We provide financial data derived from public company filings and from public data series published by United States government agencies, computed metrics, scores, and analysis, together with programmatic access to that data through our API and MCP server. We do not provide financial product advice (general or personal), hold client funds, or execute trades. Our Disclaimer and Financial Services Guide form part of these terms.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use Distill Markets. The service is for business, professional, and personal research use as set out in your grant (section 6), and is not directed at children. If you subscribe on behalf of a company or other entity, you confirm that you are authorised to bind it to these terms.
3. Your account and keys
You are responsible for activity under your account and for keeping your credentials and API keys secret. API keys are issued to your account and may be used only under your grant. Do not share, publish, or transfer them, and you are responsible for all requests made with them. On a Commercial grant, personnel of the entity may hold their own accounts and keys under that grant, within the credential limit in section 6.3. We may apply rate limits, and we may suspend or revoke a key or account that is abused, that threatens the security or stability of the service, or that breaches these terms.
4. Subscriptions & billing
Paid plans are billed on a recurring monthly basis in US dollars (USD) via our payment processor, Stripe. We are not currently registered for GST, so no GST is charged. If we register for GST in the future, it will be added to prices for Australian customers where required. If your use changes so that it is no longer covered by your grant, for example you begin using the service in a business, on behalf of clients, or in a product shown to third parties, you must move to the grant that covers it. You may cancel at any time; cancellation takes effect at the end of your current billing period. We do not provide pro-rata refunds for partial billing periods, except as required by law. If you delete your account, your subscription and access end immediately and the remainder of the current billing period is forfeited; no refund is provided except as required by law. To keep access for the period you have paid for, cancel your plan instead of deleting your account. This clause is subject to the Australian Consumer Law section below. 5. Service availability & changes
The service is provided on an “as is” and “as available” basis. We do not guarantee that it will be uninterrupted, error-free, or available at any particular time, and we may add, modify, suspend, or discontinue features (including data sources and endpoints) as the product evolves. This clause is subject to the Australian Consumer Law section below.
6. Acceptable use and data licence
6.1 Your grant
Your plan carries a use grant, Personal or Commercial, recorded on your account when you subscribe and shown on your account page. Your plan determines what data you can reach; your grant determines what you may do with it. While your subscription is active, we grant you a non-exclusive, non-transferable licence to use the data and outputs you retrieve, on the terms of your grant.
6.2 Personal grant
A Personal grant is held by an individual, for that individual. Under it you may use data and outputs in your own research, models, and systems, and in managing your own capital. You may not use a Personal grant to manage money for any other person, or to produce data or outputs that are shown to third parties in a product or service. If you need either, you need a Commercial grant.
6.3 Commercial grant
A Commercial grant is held by one named legal entity together with its wholly-owned subsidiaries, and covers that entity’s personnel acting in the course of their work for it. Under it, you may:
- use data and outputs in the entity’s research, models, and internal systems;
- use them in managing the entity’s own capital and its clients’ capital; and
- display outputs in products and applications the entity builds for its end users, where our data is an input to that product rather than a substitute for subscribing to ours.
A Commercial grant does not permit supplying our data, or data derived from it, to third parties as data.
Separately from the licence, we issue credentials under a Commercial grant as named logins: up to five accounts, each with its own request allowance, with additional logins available by arrangement.
6.4 Redistribution
Redistribution, republication, sublicensing, bulk supply, and derived data products offered to third parties as data require a separate written agreement with us. Contact support@distillmarkets.com.
6.5 Applies to every grant
You may:
- cache responses for the duration of your subscription;
- publish small illustrative samples of responses in documentation, repositories, and articles. Attribution is appreciated but not required; and
- access the service programmatically through the API and MCP server using your own keys, including by automated agents acting on your behalf. That is normal use of the service.
You may not:
- systematically re-publish, mirror, or otherwise redistribute substantial portions of the dataset;
- resell or sublicense the data as a dataset, or offer it as a standalone data product;
- use the service, API, or exports to build or train a competing dataset or product; or
- access the service on behalf of third parties who should hold their own account.
6.6 Bulk exports and downloadable files
Bulk exports and downloadable data files are covered by your grant like any other output, with two additions: you may not transfer the file itself to anyone outside your grant, and when your subscription ends you may not continue to use exports or cached data as a live data source.
6.7 Work you have already produced
Research, backtests, analyses, and other work products you derived while your subscription was active remain yours, during and after your subscription. Nothing in this section restricts your ability to publish your own research.
7. Intellectual property
Distill Markets owns the platform and the layer we add to public data: our computed metrics and scores, the entity graph, our verification and provenance layer (source and provenance flags, verification status, and measured accuracy rates), our methodology, and our documentation and branding.
We claim no proprietary interest in public filings or in the facts they contain. The underlying filings are public. What we provide is access to them in a maintained, verified, point-in-time form, together with the service around it. Third-party data supplied to us by providers remains the property of those providers.
8. Data accuracy
We publish our methodology and our measured accuracy rates on our Methodology and Benchmark pages. Those pages are our representation as to the accuracy of the data, and we make no representation beyond them. Data derived from public filings may contain errors and omissions, and may include values that were later restated; point-in-time data deliberately reproduces what was reported at the time rather than what is known now. Verify against primary sources before relying on the data for any consequential decision. This clause is subject to the Australian Consumer Law section below.
9. Limitation of liability
To the maximum extent permitted by law, our total liability to you in connection with the service is limited to the fees you paid us in the 12 months preceding the claim. We exclude liability for any consequential, indirect, or incidental loss or damage, including (without limitation) trading or investment losses.
10. Australian Consumer Law
Nothing in these terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot be excluded. Where our liability for breach of such a guarantee cannot be excluded, our liability is limited (where permitted) to resupplying the service or paying the cost of resupply.
11. Account termination
We may suspend or terminate accounts that breach these terms. You may close your account at any time; on closure we cancel your subscription and handle your data per our Privacy Policy.
12. Changes to these terms
We may update these terms from time to time. If we make a material change, we will take reasonable steps to notify you (for example, by email or an in-product notice) before it takes effect. Your continued use of the service after a change takes effect constitutes acceptance of the updated terms; if you do not agree, you may close your account.
13. Governing law
These terms are governed by the laws of the State or Territory in which our registered office is located, and each party submits to the non-exclusive jurisdiction of the courts of that place.
